Terms of Use

These Terms of Use apply to Heald, a platform owned and operated by or for Solverein, Inc. (“Solverein” or the “Company”) that allows users to organize and consolidate their medical records in one place (“Heald”). These Terms of Use include our Privacy Statement and any other policies or notices we may post on Heald from time to time.

Revisions to Terms of Use

Solverein may at any time revise these Terms of Use by updating this posting. By using Heald, you agree to be bound by any such revisions and should therefore periodically visit this page to determine the then-current Terms of Use to which you are bound.

Medical Records; User Control and Proxy Access

To offer Heald, Solverein works with Flexpa, a third-party provider that aggregates electronic health records. Through Heald, you may directly request your health records, which are delivered directly to you through the platform. You retain your rights in your medical records and control access to them. You may share your records with your medical providers or other third parties and may grant a caregiver or guardian proxy access to your records on your behalf. You may revoke your consent to access or sharing at any time, including consent to proxy access.

Authorization to Request and Receive Medical Records

Authorization. By connecting an account or selecting a source through Heald, you authorize Solverein, acting on your behalf and at your direction, to request, access and receive your medical records from the sources you identify, directly or through Flexpa or another third-party aggregator engaged by Solverein, and to deliver those records to you through Heald. This authorization applies only to the sources you select in Heald. These may include (a) the specific health care providers, hospitals, clinics, health systems or provider networks you identify; (b) health plans and insurers, including Medicare, Medicaid and commercial payers, with which you connect your account; and (c) other categories of sources Heald displays at the time of your selection, such as laboratories, pharmacies and health information exchanges. Heald will show you a list of the sources you have authorized, and you may review it at any time in your account settings.

This authorization covers the health information that the sources you select make available through Heald. This may include clinical notes, diagnoses and problem lists, medications and prescriptions, allergies, immunizations, laboratory and test results, imaging reports, procedures, visit and encounter histories, care plans, and claims, billing and coverage information. If you give specific authorization where Heald offers it, or where applicable law otherwise permits, the information requested may also include specially protected information. Specially protected information may include substance use disorder treatment records, psychotherapy notes, HIV/AIDS-related information, genetic testing information, and reproductive or sexual health information.

Solverein requests and receives this information at your request so that it can organize and consolidate your medical records in Heald, generate AI summaries of those records for you, and let you access, download and share your records as you direct. Solverein will not use or disclose this information for any other purpose except as described in our Privacy Statement or as permitted or required by law.

This authorization stays in effect for each source until the earliest of: (a) the date you revoke it for that source; (b) the date you close your Heald account; or (c) twelve (12) months after the date you grant it, unless you renew it through Heald. If a provider or applicable law requires an earlier expiration date or event, that earlier date or event will apply.

You may revoke this authorization at any time, for any or all sources, by disconnecting the source in your Heald account settings or by sending written notice to Solverein at [email protected]. If you signed a provider’s authorization form, you may also need to follow that provider’s revocation process. Revocation takes effect when Solverein receives it. After that, Solverein will make no new requests for, and will stop receiving, records from the revoked source. Revocation does not affect any action Solverein or a source took in reliance on your authorization before receiving your revocation. Records Solverein has already received will stay in your Heald account until you delete them or close your account, and will then be handled as described in our Privacy Statement and as required by applicable law. Revoking this authorization may limit or prevent Heald’s ability to provide complete or current records.

User Information

All user information you provide to Company or through Heald shall be current, accurate, and complete. If Company discovers any error or omission in the information you have provided, Company may, in its discretion, terminate your right to access and use Heald.

Patient Data and Legal Compliance

Heald allows users to transmit, store, manage, or receive confidential patient information (“Patient Information”). State and federal laws, including, to the extent applicable, the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”) and the Privacy Rule and Security Rule enacted pursuant to HIPAA, may govern the gathering, use, transmission, processing, receipt, reporting, disclosure, maintenance, and storage of Patient Information (collectively, “Privacy Laws”). You represent and warrant that you will comply with all Privacy Laws and other laws, rules, and regulations applicable to your use of Heald. Subject to applicable Privacy Laws, your authorizations, and your right to revoke consent as described above, you agree that Company may monitor, retrieve, store, and use Patient Information as necessary to operate Heald and provide the features you request. Company’s use of Patient Information shall be governed by the Privacy Statement and any applicable Business Associate Agreement. This provision does not transfer ownership of your medical records to Company or limit your control over access to and sharing of those records as described above.

Intellectual Property; License; Use Restrictions

All intellectual property rights, including copyright, patent rights, and trade secret rights, associated with Heald, including its overall look and feel, content and underlying technology, are the sole and exclusive property of Company. You shall have the limited license to use Heald solely for your own internal purposes. Except for this limited license, use of Heald does not create any licenses or other rights in Solverein’s intellectual property. Except as stated herein, Heald may not be reproduced, modified, sublicensed, distributed, republished, or transmitted in any form or by any means without the prior written permission of Solverein. You may not access or attempt to access the source code or software underlying Heald or use Heald for benchmarking or other competitive purposes. Except for your medical records and other content you provide or obtain through Heald, the copyright in content and material provided by Solverein on Heald is held by Solverein or its licensors. The restrictions in this paragraph do not limit your rights in your medical records or your ability to access, download or share your records or summaries of those records with your medical providers, caregivers, guardians or other third parties you authorize.

Trademarks

The Solverein and Heald names and logos and any other trademarks, service marks or product or service names, marks or logos (the “Trademarks”) are the trademarks of Solverein or its affiliates. Nothing on Heald should be construed as granting, by implication, estoppel or otherwise, any license or right to use any Trademark displayed on Heald, without the written permission of Solverein. Neither the name of Solverein nor the name of Heald nor the Solverein or Heald logo may be used in any way, including in advertising or publicity pertaining to distribution of materials on Heald, without prior, written permission.

These summaries are provided for informational purposes only, may contain errors or omissions, and are not a substitute for reviewing the underlying records or obtaining professional medical advice, diagnosis or treatment. Solverein does not provide medical advice through Heald. You should consult your treating physician if medical advice is needed and should not rely on an AI-generated summary to make medical decisions. No assurances are provided that the information contained on Heald will always be accurate or complete or that it will include the most recent findings or developments with respect to any particular material.

Disclaimer of Warranty

THE INFORMATION AND MATERIALS ON HEALD ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT POSSIBLE PURSUANT TO APPLICABLE LAW, SOLVEREIN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OR OTHER VIOLATION OF RIGHTS. SOLVEREIN DOES NOT PROVIDE ANY WARRANTIES REGARDING THE ACCURACY OF ANY DATA OR MATERIALS PROVIDED BY THIRD PARTIES.

HEALD IS NOT DESIGNED FOR EMERGENCY USE. IF YOU ARE EXPERIENCING AN EMERGENCY, HEALTH CRISIS OR OTHER IMMEDIATE SAFETY HAZARD, YOU SHOULD CALL 911 OR OTHER EMERGENCY SERVICES. HEALD IS INTENDED FOR INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE MEDICAL ADVICE.

Limitation of Liability

Your sole remedy for any failure of any part of Heald or dissatisfaction with or error on Heald is to cease using Heald. UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SHALL SOLVEREIN BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOSS OF DATA OR PROFIT, ARISING OUT OF THE USE, OR THE INABILITY TO USE, HEALD OR ANY MATERIALS ON HEALD, EVEN IF SOLVEREIN OR A SOLVEREIN-AUTHORIZED REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

Transmissions to Heald; Feedback

Any feedback, suggestions or ideas you submit about Heald, excluding your medical records and other personal information, will be treated as non-confidential and non-proprietary and may be used by Solverein or its affiliates to develop, improve and market products and services. Your medical records, AI-generated summaries of those records and other personal information are subject to our Privacy Statement and are not treated as non-confidential feedback or made available for unrestricted use under this paragraph.

Miscellaneous

The Terms of Use and our Privacy Statement shall constitute the entire agreement between you and Solverein regarding your use of and access to Heald. Solverein may suspend or discontinue Heald at any time without notice. Any claim relating to the use of Heald and the materials contained on Heald shall be governed by the laws of the United States and the State of Delaware.
